Terms & Conditions

These Terms & Conditions govern the provision of services by Prowise Tech Co., Ltd. (“the Company,” “we,” “our,” or “us”) to any client (“you,” “your,” or “the Client”). By engaging with our services, you agree to be bound by these terms as well as any service agreements, quotations, or other related documents.

 

  1. Definitions
  • Services: Refers to software development, technology consulting, UX/UI design, system maintenance, project management, and other services provided by the Company.

  • Software: Refers to any computer program, application, or digital solution developed by the Company for the Client under the terms of a service agreement.

  • Client Data: Refers to any information, documents, or content provided by the Client to the Company for the purpose of service delivery.

  • Intellectual Property: Refers to copyrights, patents, trademarks, trade secrets, and any other intellectual property rights, whether registered or not.

 

  1. Scope of Services

2.1 Service Provision
The Company shall provide services as defined and agreed upon in the applicable Quotation, Service Agreement, or any formal documentation between the Company and the Client.

2.2 Scope Changes
Any changes or additions to the scope of work (Change Request) must be approved in writing by both parties and may affect the service fees and timeline.

 

  1. Service Fees & Payment Terms

3.1 Service Fees
Fees for services will be specified in the applicable quotation or service agreement.

3.2 Payment Terms
Payments shall be made in accordance with the terms and milestones outlined in the agreement or invoice.

3.3 Late Payments
In case of late payments, the Company reserves the right to suspend services and charge interest according to legal rates or as specified in the service agreement.

 

  1. Intellectual Property Rights

4.1 Ownership of Developed Software

    • Client Ownership: Unless otherwise stated, the Client shall own all intellectual property rights (including copyright) to the developed software upon full payment.

    • Portfolio Use: The Client agrees to allow the Company to showcase the software as part of its portfolio or case studies, unless otherwise agreed in writing.

4.2 Company’s Pre-existing IP
All intellectual property owned by the Company prior to the engagement, or independently developed outside the scope of the service, shall remain the exclusive property of the Company.

4.3 Use of Client Data
The Client grants the Company the right to use Client Data solely for the purpose of fulfilling contractual obligations.

  1. Confidentiality

5.1 Confidential Information
Both parties agree to maintain the confidentiality of information received from the other party and not disclose or use it for purposes beyond the scope of the services, unless expressly authorized in writing or required by law.

5.2 Exceptions
Confidentiality obligations do not apply to information that is:

    • Already publicly available

    • Lawfully received from a third party

    • Required to be disclosed by law

  1. Warranties & Limitation of Liability

6.1 Warranties
The Company warrants that services will be performed with due skill, care, and industry-standard professionalism. The developed software will function according to the agreed-upon specifications.

6.2 Limitations of Liability

    • The Company shall not be liable for damages arising from inaccurate or incomplete data provided by the Client.

    • The Company shall not be liable for indirect, special, consequential, or incidental damages, including loss of profits or data.

    • The Company’s maximum liability shall not exceed the total service fees paid by the Client for the specific service that caused the damage.

  1. Termination

7.1 Termination by Client
The Client may terminate the service agreement in accordance with the termination terms in the agreement, subject to potential refund or penalties.

7.2 Termination by the Company
The Company may terminate the agreement immediately if the Client breaches any material terms and fails to remedy the breach within the notified period.

7.3 Effect of Termination
Upon termination, the Client shall be responsible for any fees due for services rendered up to the date of termination.

  1. Modifications to Terms

The Company reserves the right to modify these Terms & Conditions at any time. Updates will take effect upon publication on our website. Continued use of our services constitutes acceptance of the revised terms.

  1. Governing Law & Jurisdiction

These Terms shall be governed and interpreted in accordance with the laws of the Kingdom of Thailand. Any disputes arising under these Terms shall be subject to the jurisdiction of Thai courts.
